It is with pleasure that the Australian Organic Ltd Board invites members to the 2026 Special General Meeting (SGM) to be held online via Zoom, and commencing at 4.00pm AEST on Friday 25 September 2026.
If you are unable to attend, you are encouraged to participate in the meeting by voting directly or appointing a proxy on your behalf. Details on how to appoint a proxy are outlined in the Notice of Meeting below.
The Board has undertaken a review of Australian Organic Limited’s (AOL) Constitution to modernise its governance arrangements, adopt constitution feedback from its members, and better support AOL’s future operations.
A proposed amended Constitution has been prepared for consideration by the members of the Company. The proposed changes include, among other matters:
A simplified membership structure comprising Voting Members, Grandfather Members and Supporter Members;
- Revised arrangements for membership admission, reclassification and re-admission following expulsion;
- Election of Directors by members;
- Introduction of an Independent Chairperson, nominated by the Board and elected by members;
- Option for board to delegate approval of new members to management which would facilitate more automated member onboarding experience for members;
- Greater flexibility for AOL to operate under business names adopted by the Board.
The proposed Constitution must be approved by members by Special Resolution before it can take effect.
Please find below the Notice of Special General Meeting to be held at 4pm on Friday 25 September 2026 for members to consider and, if thought fit, approve the repeal of the existing Constitution and adoption of the proposed new Constitution. Eligibility to vote on the Special Resolution will be confirmed prior to the SGM.
